Terms of Service

1. Agreement to Terms

By accessing or using SheltrIQ (the "Service"), operated by Avion Technologies LLC ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including property owners ("Landlords"), tenants accessing tenant portals, CPAs accessing shared reports, and visitors to our website.

2. Service Description

SheltrIQ is an AI-powered rental property tax intelligence and management platform. The Service provides tools for:

  • Expense tracking and AI-powered classification to IRS Schedule E categories
  • Depreciation scheduling and tracking (MACRS, cost segregation, bonus depreciation)
  • Tax calculations (QBI deductions, quarterly estimates, tax health scoring, audit risk assessment)
  • Tenant management, maintenance tracking, and rent collection
  • Document storage, 1099-NEC generation, and CPA collaboration
  • Property listing and tenant screening

3. IMPORTANT: Not Tax, Legal, or Financial Advice

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

  • SheltrIQ is a tax information tool, NOT a tax advisor, CPA, attorney, or financial advisor. The Service provides calculations, classifications, and estimates based on general IRS rules and the data you provide. It does not constitute tax advice, legal advice, or financial advice.
  • AI classifications are not guaranteed to be correct. Our AI models provide suggestions based on pattern matching and language analysis. These suggestions may be inaccurate. You are responsible for reviewing and verifying all classifications before using them for tax filing.
  • Tax calculations are estimates only. QBI deductions, depreciation schedules, quarterly estimates, tax health scores, audit risk assessments, and all other tax-related outputs are informational estimates based on general IRS guidelines. They do not account for your complete tax situation, state-specific rules, or recent tax law changes that may not yet be reflected in our system.
  • You should always consult a qualified CPA or tax professional before making tax decisions, filing tax returns, claiming deductions, or taking any action based on information provided by SheltrIQ.
  • IRS BAR test classifications are advisory. Our repair vs. capital improvement classifications are based on keyword matching and AI analysis. The IRS makes the final determination. Incorrect classification can result in penalties and interest.
  • We are not responsible for tax penalties, audits, or incorrect filings that result from reliance on SheltrIQ's calculations, classifications, or suggestions.

4. Account Registration & Security

  • You must be at least 18 years old to use the Service
  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately at [email protected] if you suspect unauthorized access to your account
  • You may not share your account with others or create multiple accounts
  • We reserve the right to suspend or terminate accounts that violate these Terms

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose, including tax fraud or money laundering
  • Enter knowingly false or misleading financial data
  • Attempt to access other users' data or circumvent security measures
  • Reverse-engineer, decompile, or extract our AI models, algorithms, or source code
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Attempt to manipulate AI classifications through prompt injection or adversarial inputs
  • Upload malicious files, malware, or content that could harm the Service or other users
  • Resell, sublicense, or white-label the Service without our written agreement
  • Exceed reasonable usage limits (more than 10,000 API requests per day, more than 1,000 AI classification requests per day)

6. Subscription Plans & Payments

6.1 Free Tier

The core Service is offered free of charge for landlords with 1-10 rental units. Free accounts include expense tracking, AI classification, depreciation, tax reports, and most features.

6.2 Paid Plans

  • Paid plans (Pro, Business) provide additional features as described on our pricing page
  • Subscriptions are billed monthly or annually via Stripe
  • Prices may change with 30 days' notice. Existing subscriptions will honor the original price until the end of the current billing period.

6.3 Refunds

  • Monthly subscriptions: No refunds for partial months. You may cancel at any time and retain access until the end of the billing period.
  • Annual subscriptions: Pro-rated refund available within the first 30 days. No refunds after 30 days.

6.4 Rent Collection Fees

Rent collection via Stripe Connect is subject to payment processing fees:

  • ACH bank transfers: 0.8% (max $5 per transaction)
  • Credit/debit card payments: 2.9% + $0.30 per transaction
  • These fees are set by Stripe and are paid by the tenant unless you configure otherwise

7. Your Data & Content

  • You own your data. All property information, financial data, documents, and content you upload to SheltrIQ remains yours.
  • License to us: You grant us a limited license to use your data solely to provide and improve the Service. This license terminates when you delete your account.
  • Data accuracy: You are responsible for the accuracy of data you enter or import. Our calculations are only as good as the data you provide.
  • Export: You may export your data at any time via PDF reports and CSV downloads
  • Deletion: You may request complete account deletion by emailing [email protected]. All data will be permanently deleted within 30 days.

8. Tenant Portal & Third-Party Access

  • Tenant portal: You may invite tenants to access a limited portal via magic link. You are responsible for ensuring you have the right to share tenant information through the Service.
  • CPA portal: You may create time-limited read-only access links for your CPA or tax professional. You control the duration and can revoke access at any time.
  • Public listing pages: If you publish a rental listing, the listing information (but not your personal details or financial data) will be publicly accessible.
  • Fair Housing: You agree to comply with all applicable Fair Housing laws when using tenant screening, rental applications, and listing features. You will not discriminate based on race, color, religion, national origin, sex, familial status, disability, or any other protected class.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI CLASSIFICATIONS WILL BE ACCURATE.
  • IN NO EVENT SHALL AVION TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR TAX PENALTIES, ARISING FROM YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify and hold harmless Avion Technologies LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law (including tax laws, Fair Housing laws, and landlord-tenant laws)
  • Tax penalties or audit consequences resulting from reliance on the Service's calculations or classifications
  • Claims by your tenants related to data you shared through the Service

11. Intellectual Property

  • The Service, including its software, AI models, design, branding, and content (excluding user-generated content) is the property of Avion Technologies LLC
  • "SheltrIQ" is a trademark of Avion Technologies LLC
  • You may not copy, modify, distribute, or create derivative works from any part of the Service
  • The free public tools (calculators, blog articles) may be linked to but not reproduced without permission

12. Termination

  • By you: You may stop using the Service and delete your account at any time
  • By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse the Service. We will provide reasonable notice except in cases of fraud or security threats.
  • Effect of termination: Upon termination, your right to use the Service ceases. You may request data export before termination. Data will be deleted per our Privacy Policy.
  • Survival: Sections 3 (Not Tax Advice), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Dispute Resolution) survive termination.

13. Dispute Resolution

  • Governing law: These Terms are governed by the laws of the State of California, USA
  • Informal resolution first: Before filing any claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days
  • Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration under the rules of JAMS in California. You agree to waive your right to a jury trial and to participate in class action lawsuits.
  • Small claims exception: Either party may bring a claim in small claims court if the claim qualifies
  • Class action waiver: You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

14. Service Availability & Changes

  • We strive for high availability but do not guarantee 100% uptime
  • We may modify, suspend, or discontinue features with reasonable notice
  • We will provide at least 90 days' notice before discontinuing the entire Service, during which you may export your data
  • Free tier features may change. We will not remove core functionality (expense tracking, classification, reports) from the free tier without at least 12 months' notice.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and/or a prominent notice on the Service at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance. If you disagree with the updated Terms, you must stop using the Service and delete your account.

16. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • No waiver: Our failure to enforce any right does not constitute a waiver of that right
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
